Welcome to the Qeasy Cloud data integration platform. These Terms of Service constitute a legally binding agreement between you and Guangdong Qingyiyun Software Technology Co., Ltd. regarding your use of the Qeasy Cloud platform and related services. Please read and fully understand these Terms before using the services, with particular attention to any clauses that exclude or limit liability highlighted in bold, underlined or otherwise conspicuous form.
General Provisions and Definitions
These Terms are entered into between you (the "User" or "you") and Guangdong Qingyiyun Software Technology Co., Ltd. ("Qeasy Cloud", "we" or the "Company"), and govern your access to and use of the Qeasy Cloud data integration platform (www.qeasy.cloud) and the products and services related to it (collectively, the "Services").
By registering an account, checking the box to accept these Terms, or otherwise actually using the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, please immediately stop registering for or using the Services.
- "Platform": the iPaaS data integration platform operated by Qeasy Cloud, including the associated websites, console, APIs and related clients;
- "Business Data": all business data and files that you connect to, transmit, transform or process through the Services;
- "Connector": a prebuilt interface adapter component provided by the Platform for connecting with third-party business systems;
- "Third-Party Services": third-party services integrated to support the operation of the Services, such as SMS delivery channels and analytics services.
Account Registration and Security
- To register an account, you must complete SMS verification code validation with a mainland China mobile phone number and provide truthful, accurate and complete information such as your company name; you shall promptly update such information when it changes.
- You shall properly safeguard your account, password and SMS verification codes, and shall not lend, transfer, lease or sell your account to any third party.
- All activities conducted under your account are deemed to be your own acts, and you shall bear the corresponding legal consequences and responsibilities.
- If you discover that your account has been compromised, used without authorization, or subject to any other security breach, you shall notify us immediately through the contact channels stated in these Terms.
- For accounts registered with false information or used in violation of these Terms, we reserve the right to restrict functionality, suspend or terminate the account, depending on the circumstances.
Service Scope and Changes
- The Services include data integration task configuration, a connector marketplace, task scheduling, runtime monitoring and alerting, API asset management and other features, subject to the functionality actually provided on the Platform.
- We may upgrade, adjust, add or remove features of the Services in light of product operations and technology evolution, and will inform you through website announcements, in-site notifications or similar means.
- Free trial features are provided for evaluation purposes; we may adjust their scope or discontinue them at any time without liability arising therefrom.
- Where all or part of the Services must be suspended for system maintenance or upgrades, we will announce this on the website in advance whenever possible, except in emergencies.
Acceptable Use
When using the Services, you undertake to comply with the laws and regulations of the People's Republic of China and these Terms, and shall not use the Services to engage in any of the following:
- Creating, copying or disseminating unlawful information, or engaging in activities that infringe the lawful rights and interests of others;
- Reverse engineering or decompiling the Platform, or attacking, intruding into, vulnerability-scanning, or otherwise interfering with its normal operation in any way;
- Using the Services to send spam or malicious programs, or to conduct any activity that endangers cybersecurity;
- Circumventing or attempting to circumvent the Platform's technical restrictions, access permissions, call quotas or similar control measures;
- Any other conduct that violates laws and regulations, these Terms, or public order and good morals.
Data and API Usage Rules
- You shall ensure that you hold lawful and sufficient authorization for the third-party systems and related data connected through the Services, and you shall bear all responsibility arising from any defect in such authorization.
- When calling third-party platform interfaces through the Services, you shall also comply with the terms of service, API usage rules and data policies of the respective third-party platform.
- You shall reasonably configure API call frequencies and data synchronization tasks, and shall not engage in abusive usage beyond normal operational needs.
- You are the controller of and responsible party for your Business Data, and shall be responsible for its lawfulness, accuracy, completeness and necessary backups.
- We process your Business Data only to the extent necessary to provide the Services to you; details are set out in the Privacy Policy.
Fees and Refunds
- Certain features and services of the Platform are paid services; specific prices and billing methods are subject to the pricing page or to contracts and orders separately executed by both parties.
- If a paid service expires and is not renewed, we reserve the right to restrict or disable the corresponding features; any consequences such as interruption of data processing shall be borne by you.
- Where the Services become unusable due to reasons attributable to you (such as misconfiguration or suspension for violations), fees already paid are non-refundable.
- Where the Services remain unavailable for an extended period due to reasons attributable to us and cannot be remedied, you may request a refund proportional to the unperformed portion, or another form of compensation as negotiated by both parties.
- In case of any inconsistency between this section and the refund provisions of a specific contract or order, the contract or order shall prevail.
Intellectual Property
- The intellectual property rights in the Platform's software, source code, interface designs, documentation and trademarks (including the "Qeasy Cloud" marks) belong to the Company or the respective rights holders, and may not be used by anyone without permission.
- The intellectual property rights and related interests in the Business Data you connect to or process through the Services belong to you or the respective rights holders.
- Without our written permission, you shall not copy, modify, disseminate, sell or license to others any content of the Platform.
- We may use, free of charge and without further consent, any suggestions, ideas or feedback you provide to us in the course of using the Services.
Confidentiality
- Each party shall keep confidential the trade secrets, technical secrets and other non-public information of the other party learned in the course of entering into and performing these Terms, and shall not disclose such information to any third party without the other party's written consent.
- The confidentiality obligations survive the termination or rescission of these Terms and continue until the relevant information lawfully enters the public domain.
- Disclosure made pursuant to mandatory requirements of laws and regulations, judicial authorities or administrative authorities shall not constitute a breach of the confidentiality obligations.
Disclaimers and Limitation of Liability
- The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not warrant that the Services will be absolutely uninterrupted, error-free or fully fit for your particular needs.
- We assume no liability for service interruption, data delay or loss caused by reasons not attributable to us, such as force majeure, failures of basic telecommunications operators, or changes to or discontinuation of third-party system interfaces, though we will make reasonable efforts to help you mitigate the loss.
- We assume no liability for indirect or consequential damages arising from the use of or inability to use the Services, including loss of profits, loss of goodwill, or indirect losses resulting from data loss.
- To the maximum extent permitted by law, our aggregate liability to you in connection with the Services is capped at the total fees you actually paid to us for the Services during the 12 months preceding the event giving rise to the liability; for free users, the cap is RMB 100.
Breach and Enforcement
- If you breach these Terms, we reserve the right, depending on the severity, to issue a warning, restrict features, suspend or terminate the Services, or cancel your account, without incurring liability to you for doing so.
- You shall be liable in accordance with the law for any losses caused to us or any third party by your breach.
- Where your conduct is suspected of violating the law or constituting a crime, we will report it to the competent authorities in accordance with the law and cooperate with their investigation.
Governing Law and Dispute Resolution
- The formation, validity, interpretation and performance of these Terms and the resolution of disputes arising from them are governed by the laws of mainland China (excluding conflict-of-law rules).
- Any dispute arising from these Terms or the Services shall first be resolved through friendly negotiation; if negotiation fails, either party may bring a lawsuit before the people's court with jurisdiction at the Company's domicile (Guangzhou, Guangdong Province).
Amendments and Effectiveness
- We may amend these Terms from time to time in response to changes in laws and regulations or business adjustments, and the amended Terms will be published on this page.
- For material changes, we will provide conspicuous notice to you through in-site notifications, page announcements or other reasonable means.
- Once the amended Terms take effect, your continued use of the Services constitutes acceptance of the amended Terms; if you do not agree with the amendments, you should stop using the Services.
- These Terms take effect as of August 27, 2026.
